Terms of Service

The seller of the Products is Jesper Jönsson, trading as ProsperAudio, a sole trader business (enskild firma) registered in Sweden. Full seller and contact details are on our Legal Information page.

1. Acceptance of Terms

By accessing or using the ProsperAudio website (the "Site"), purchasing or using our software products (the "Products"), or using any of our online tools (the "Tools"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Site, Products, or Tools.

2. Eligibility

You must be at least 16 years old to purchase Products or create an account. By using the Site you represent that you meet this requirement and that all information you provide is accurate.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. License to Use the Products

When you purchase a Product, ProsperAudio grants you a non-exclusive, non-transferable, perpetual license to install and use the Product on devices owned or controlled by you, solely for your personal or commercial music production use. You may not:

• Resell, sublicense, lease, rent, or redistribute the Product or any part of it;
• Reverse engineer, decompile, or otherwise attempt to derive the source code;
• Remove or alter any copyright, trademark, or proprietary notices;
• Use the Product to create competing products or content that would directly imitate it.

The license is granted to a single individual user. Studios and teams may purchase additional licenses per user.

5. Free Tools

Our Tools (including the BPM & Key Finder) are provided free of charge, as-is, without any warranty. Files you analyze with our browser-based tools are processed entirely on your device and are not uploaded to our servers.

6. Pricing, Orders and Payment

Prices are listed in EUR (or your local currency where supported) and may change at any time. Our order process is conducted by our online reseller Paddle.com Market Limited. Paddle.com is the Merchant of Record for all our orders and is responsible for collecting payment, calculating and remitting sales tax/VAT, providing invoices, handling refunds and chargebacks, and dealing with related customer service inquiries. Your purchase is governed by Paddle's Buyer Terms. We reserve the right to refuse or cancel any order at our sole discretion (for example, in case of pricing errors or suspected fraud).

7. Delivery

Products are delivered digitally. After a successful purchase, download links and license information are made available in your account and may also be sent by email to the address you provided. You are responsible for keeping a copy of your downloads and license keys.

8. Refunds

We offer a 14-day refund window on digital downloads (plugins, sample packs, MIDI packs, and preset packs). If a product does not work as described, was not delivered, or was purchased twice by mistake, contact us within 14 days of your order and we will arrange a refund through Paddle, our Merchant of Record. Because the products are digital content delivered immediately, you consent at checkout to immediate performance and acknowledge that the statutory 14-day right of withdrawal for digital content no longer applies once the download has started. This does not affect the refund window described above or your statutory rights in respect of faulty products.

9. Updates

We may release updates to the Products from time to time. Updates are provided to existing license holders at no additional cost when made available, but ProsperAudio does not guarantee any specific update schedule, feature, or compatibility with future operating systems or hosts.

10. User Content

Music you create using our Products is yours. ProsperAudio claims no ownership of your output and does not require attribution.

11. Intellectual Property

All content on the Site (including Product names, logos, graphics, audio examples and text) is the property of ProsperAudio or its licensors and is protected by intellectual-property laws.

12. Disclaimers

The Site, Products, and Tools are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Products will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, ProsperAudio and its officers, employees and contractors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising out of your use of the Site, Products or Tools. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Product giving rise to the claim in the 12 months preceding the claim.

14. Termination

We may suspend or terminate your account and access to the Site if you breach these Terms. Upon termination, your right to use the Products under the granted license also terminates if the breach relates to license violations such as redistribution.

15. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Site after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of Sweden, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Swedish courts, without prejudice to any mandatory consumer-protection rights you may have under the laws of your country of residence.
